End User License Agreement

1. License Grant

Subject to your compliance with this Agreement, Qualica grants you a non-exclusive, non-transferable, revocable license to use the DFM Copilot software as a service. This license is valid for the duration of your active subscription and is limited to authorized users under your account. This Agreement does not convey any ownership rights in the software.

2. Restrictions

You agree not to:

  • Reverse engineer, decompile, or disassemble the software.
  • Resell, sublicense, or redistribute the service.
  • Use the service for any illegal or unauthorized purpose.
  • Attempt to gain unauthorized access to the service or related systems.
  • Remove any proprietary notices or labels from the software.
  • Use automated systems to access the service without express permission.

3. Intellectual Property Rights

You retain all rights, title, and interest in and to your CAD files, designs, and user-generated content. Qualica retains all rights, title, and interest in and to the software, algorithms, analysis methods, AI models, and platform technology. You grant Qualica a limited license to process your CAD data solely for the purpose of providing the service. No implied rights are granted beyond what is explicitly stated in this Agreement.

4. Third-Party Integrations

Our service integrates with third-party platforms such as Onshape and Autodesk Fusion 360 via OAuth. By using these integrations, you agree to comply with the respective terms of service of these platforms. We use OAuth scopes to read documents, features, and metadata as necessary to provide our analysis. Qualica does not permanently store full CAD geometry. You are responsible for managing access to your third-party accounts. Qualica is not responsible for the availability or changes to these third-party services.

5. Data and Privacy

Your use of the service is also governed by our Privacy Policy. We process CAD data transiently for analysis purposes. Metadata (such as document names and feature counts) may be stored to provide service functionality. All user data is encrypted in transit using TLS 1.3 and at rest using AES-256. You may request data deletion in accordance with our Privacy Policy. We comply with GDPR for users in the European Union.

6. Service Availability

The service is provided on an "as available" basis as a Software as a Service (SaaS). We do not guarantee specific uptime or availability. Qualica reserves the right to modify, suspend, or discontinue features with notice. Scheduled maintenance windows may occur. Qualica is not liable for any interruptions in service. We recommend that you maintain backups of your important data.

7. Disclaimers and Limitations of Liability

The analysis provided by Qualica is advisory and informational only. It is not a guarantee of manufacturability or production success. You must validate all designs with qualified professionals before manufacturing. Qualica is not liable for any manufacturing defects, production failures, or associated costs. The service is provided "as-is" without warranties of any kind. To the maximum extent permitted by law, our liability is limited to the subscription fees paid by you in the 12 months prior to the claim. We are not liable for any indirect, consequential, or special damages.

8. Termination

You may cancel your subscription at any time. Qualica may terminate this Agreement and your access to the service if you violate these terms. Upon termination, your right to use the service will immediately cease. Sections regarding Intellectual Property, Disclaimers, and Limitations of Liability shall survive termination. Data deletion will be handled in accordance with our Privacy Policy.

9. Updates and Modifications

Qualica may update the software and its features at any time. We may also update this EULA with notice provided via email or in-app notification. Your continued use of the service after such notice constitutes your acceptance of the new terms. Material changes will be communicated clearly. If you do not agree to the changes, you may terminate your subscription.
